CLIENTCHECK TERMS OF SERVICE Last Updated: April 7, 2026 Welcome to ClientCheck. These Terms of Service ("Terms") constitute a legally binding agreement between you and Client Intelligence LLC, a Florida limited liability company doing business as ClientCheck ("ClientCheck," "we," "us," or "our"). By accessing or using our web application, mobile applications, APIs, or any related services (collectively, the "Service"), you agree to be bound by these Terms. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE. 1. ACCEPTANCE OF TERMS By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of a business entity, you represent and warrant that you have authority to bind that entity to these Terms. 2. ELIGIBILITY a) You must be at least 18 years of age to use the Service. b) You must be a licensed or registered contractor, or authorized representative of a contracting business, with a valid Employer Identification Number (EIN) or equivalent business identifier to create a business account. c) Team members (foremen, employees) invited by an eligible business owner may use the Service under the sponsoring business account. d) You represent that you have not been previously suspended or removed from the Service. 3. ACCOUNT REGISTRATION AND SECURITY a) You agree to provide accurate, current, and complete information during registration and to keep your account information updated. b) You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. c) You must notify us immediately at support@client-c.com if you suspect unauthorized access to your account. d) We reserve the right to verify your business identity through documentation review (business licenses, EIN documentation) and may restrict account functionality until verification is complete. e) You may not share, transfer, or sell your account or credentials to any other person or entity. 4. THE SERVICE -- NOT A CONSUMER REPORTING AGENCY a) ClientCheck is a peer-to-peer experience-sharing platform where contractors share their firsthand experiences working with clients. THE SERVICE IS NOT A CONSUMER REPORTING AGENCY AS DEFINED BY THE FAIR CREDIT REPORTING ACT (15 U.S.C. 1681 et seq.) ("FCRA"). b) Reviews and ratings on ClientCheck reflect individual contractor opinions and experiences. They are not consumer reports, credit reports, background checks, or formal assessments of creditworthiness, character, or reputation. c) You agree NOT to use information obtained from the Service for any purpose that would require compliance with the FCRA, including but not limited to: employment decisions, tenant screening, credit eligibility determinations, insurance underwriting, or any other purpose enumerated in 15 U.S.C. 1681b. d) Public records data displayed on the Service (building permits, code violations, court records, property records) is sourced from publicly available government databases and is provided for informational purposes only. This data is not verified for accuracy and should not be used as a substitute for independent due diligence. e) You acknowledge that ClientCheck does not guarantee the accuracy, completeness, or reliability of any reviews, ratings, or public records data displayed on the Service. 5. REVIEWS AND USER-GENERATED CONTENT a) Reviews must be based on genuine, firsthand business interactions between you and the reviewed party. b) Reviews are structured (star ratings, categorical scores) to minimize defamation risk. Free-text comments are limited to 280 characters. c) You represent and warrant that all reviews you submit are truthful, accurate, and reflect your genuine experience. d) You agree not to submit false, misleading, defamatory, or malicious reviews. e) ClientCheck reserves the right to moderate, flag, suspend, or remove reviews that violate these Terms, at our sole discretion. f) By submitting a review, you grant ClientCheck a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute the review in connection with the Service. g) Reviews may be aggregated into scores and displayed on client profiles visible to other users. 6. CONSUMER RIGHTS AND RESPONSES a) Individuals who are the subject of reviews ("Reviewed Consumers") have the right to be notified when a review is submitted about them. b) Reviewed Consumers may submit structured responses to reviews, which will be displayed alongside the original review. c) Reviewed Consumers may report reviews they believe violate these Terms. d) Consumer response requests expire after 30 days if not acted upon. 7. SUBSCRIPTION PLANS AND PAYMENT a) The Service offers four subscription tiers: Free, Shield, Professional, and Enterprise. Pricing for paid tiers is described on our subscription page and may change. b) Paid subscriptions purchased on iOS are billed by Apple through In-App Purchase. Paid subscriptions purchased on web and Android are billed through our third-party payment processor, Stripe. By subscribing, you authorize recurring charges through the applicable platform. c) You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. d) All fees are in US dollars and are non-refundable except as required by applicable law. e) We reserve the right to modify pricing with 30 days advance notice. Continued use after a price change constitutes acceptance. 8. STRIPE CONNECT AND CONTRACTOR PAYMENTS a) The Service integrates with Stripe Connect to facilitate invoice payments, settlement payments, and contractor payouts. b) By using payment features, you agree to Stripe's Connected Account Agreement (https://stripe.com/connect-account/legal) in addition to these Terms. c) ClientCheck acts as a platform facilitating payment between parties and is not a party to the underlying transaction between contractors and clients. d) ClientCheck is not responsible for disputes, chargebacks, or payment failures between parties using Stripe Connect. 9. THIRD-PARTY INTEGRATIONS a) The Service integrates with third-party services including Google Calendar, QuickBooks Online, and others. Use of these integrations is subject to the respective third-party terms of service. b) You authorize ClientCheck to exchange data with connected third-party services as necessary to provide integration functionality. c) You may revoke integration access at any time through your account settings. d) ClientCheck is not responsible for the availability, accuracy, or security practices of third-party services. 10. GPS AND LOCATION SERVICES a) Certain features (geofencing, location-verified clock-in/out, job site mapping) require access to your device location. b) Location data is collected only with your explicit consent and in accordance with the permissions you grant on your device. c) You may disable location services at any time through your device settings or in-app preferences, though this may limit functionality. 11. TEAM MANAGEMENT a) Business owners may invite team members (foremen, employees) to their account, subject to plan limits. b) Business owners are responsible for the actions of their team members on the Service. c) Team member access and roles can be managed by the business owner at any time. d) Team invitations expire after 7 days if not accepted. 12. PROHIBITED CONDUCT You agree not to: a) Submit fraudulent, fabricated, or intentionally misleading reviews. b) Harass, threaten, or intimidate other users or reviewed consumers. c) Attempt to manipulate scores, ratings, or search results. d) Use the Service for any illegal purpose or in violation of any applicable law. e) Reverse engineer, decompile, disassemble, or scrape the Service or its data. f) Use automated means (bots, scrapers, crawlers) to access the Service without written permission. g) Circumvent or attempt to circumvent access restrictions, rate limits, or security measures. h) Share, resell, or redistribute data obtained from the Service. i) Impersonate another person or entity, or misrepresent your affiliation with a business. j) Upload malicious code, viruses, or harmful content. k) Use the Service in a manner that could damage, disable, or impair our infrastructure. 13. INTELLECTUAL PROPERTY a) The Service, including all content, features, functionality, software, designs, and trademarks, is owned by ClientCheck and protected by United States and international intellectual property laws. b) You retain ownership of content you submit (reviews, documents, photos) but grant ClientCheck the license described in Section 5(f). c) You may not use the ClientCheck name, logo, or branding without prior written consent. 14. DISCLAIMER OF WARRANTIES THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING REVIEWS, RATINGS, OR PUBLIC RECORDS DATA. 15. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTCHECK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO CLIENTCHECK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 16. INDEMNIFICATION You agree to indemnify, defend, and hold harmless ClientCheck, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) content you submit to the Service. 17. DISPUTE RESOLUTION AND ARBITRATION a) Any dispute arising from these Terms or the Service shall first be addressed through informal negotiation by contacting us at support@client-c.com. b) If not resolved within 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. c) Arbitration shall take place in the State of Florida, United States. d) YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. e) Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or prevent irreparable harm. 18. GOVERNING LAW These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. 19. TERMINATION a) You may request account deletion at any time through Settings > Delete Account. Deletion requests are processed under our retention policy and legal obligations, and your account access is disabled while processing is underway. b) We may suspend or terminate your account at any time for violations of these Terms, at our sole discretion, with or without notice. c) Upon termination, your right to use the Service ceases immediately. d) Sections 4, 5(f), 13-18 shall survive termination. 20. MODIFICATIONS TO TERMS a) We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. b) Your continued use of the Service after the effective date of updated Terms constitutes acceptance. c) If you disagree with updated Terms, you must stop using the Service and delete your account. 21. GENERAL PROVISIONS a) If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. b) Our failure to enforce any provision does not constitute a waiver of that provision. c) These Terms, together with the Privacy Policy, constitute the entire agreement between you and ClientCheck regarding the Service. d) You may not assign or transfer your rights under these Terms without our written consent. 22.
